Official Rules

NO PURCHASE IS NECESSARY TO PARTICIPATE.
A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

THE SWEEPSTAKES IS SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS.
VOID WHERE PROHIBITED OR OTHERWISE RESTRICTED BY LAW.

 1. PROMOTION DESCRIPTION:  The “Space Race 2012 Sweepstakes” (“Sweepstakes”) is conducted by Space Needle LLC (“Sponsor”) and begins at 12:00:00 a.m. on August 1, 2011, and ends at 11:59:59 p.m. on December 29, 2011 (“Sweepstakes Period”).  Because potential winners of certain Sweepstakes prizes will be selected prior to the conclusion of the Sweepstakes Period, not all Sweepstakes participants may be eligible for all prizes.  For the entry deadlines and potential prize winner selection date for each prize, please see Rule 3.  The “Sweepstakes Computer” is the official timekeeping and random drawing device for the Sweepstakes.  Except as otherwise stated, all times in the Official Rules shall be United States Pacific Time, regardless of whether or not Daylight Savings Time is in effect.

IMPORTANT:  The “Space Race 2012 Competition” (“Competition”) is a skill-based competition that will begin as early as December 1, 2011 and will conclude no later than December 31, 2012 (“Competition Period”).  The Competition, although referred to in these Official Rules, is SEPARATE AND DISTINCT from the Sweepstakes, EXCEPT to the extent (and only to the extent) that certain Sweepstakes winners, subject to THESE OFFICIAL RULES, will BE AWARDED the right to enter the Competition.  The right to enter the Competition is not a right  to remain in the Competition or receive any prize awarded in the Competition.  For more information, see Rule 4.

2. ELIGIBILITY: 

 a. Persons Eligible to Play:  The Sweepstakes is open only to legal residents of the fifty (50) States within the United States and the District of Columbia (“U.S.”) who are at least eighteen (18) years of age (or the age of majority in their state of residence, whichever is older) as of date of entry.  Persons in any of the following categories are NOT eligible to participate or win prizes in the Sweepstakes:  (a) any person who, on or after July 1, 2011, was or is a director, officer, beneficial owner, employee, agent, or independent contractor of Sponsor, its parent companies, subsidiaries, affiliated companies, vendors, suppliers, advertising and promotion agencies, service agencies, or any entities retained by Sponsor for the administration of the Sweepstakes; (b) any individual, or any director, officer, employee, agent, or independent contractor of any entity, engaged in the development, production or distribution of Sweepstakes materials or who furnishes a prize for the Sweepstakes; and (c) persons who are immediate family members (defined as spouse, domestic partner, IRS dependent, or biological, adoptive, or mother, father, sister, brother, daughter, or son) of, or who reside in the same household as, any person in any of the preceding categories.

b. Agreement to Official Rules:  Each person who participates in the Sweepstakes (each a “Participant”), fully and unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of the Sponsor, which shall be final and binding with respect to all aspects of the Sweepstakes.

c. Persons Eligible to Win:  Winning any prize requires that the potential winner of the prize be eligible and remain in compliance with these Official Rules.  Until such eligibility and compliance is verified, as determined by Sponsor, the Participant is, and will remain, a potential prize winner only.

 

3. SWEEPSTAKES:

a. How To Enter/Play:

i. Entry FormTo participate in the Sweepstakes, you must first register online, either at the “Official Website” (www.SpaceNeedle.com) or on the “Sweepstakes Facebook Page” (www.facebook.com/SpaceNeedle).  To register using the Sweepstakes Facebook Page, you may be required to sign up for a Facebook user account, and you must use the “Like” feature to “like” the Space Needle and/or the Sweepstakes Facebook Page.  To register on either the Official Website or on the Sweepstakes Facebook Page, you must complete and submit the Sweepstakes registration form (“Entry Form”).  The Entry Form includes required form fields, which you must complete, including but not limited to: first and last name, zip code and country of residence, personal email address, and date of birth.  You will also be required to acknowledge that you are at least eighteen (18) years of age (or of legal age in your state of residence, whichever is older) and have read and agree to the Official Rules and Privacy Statement.  If you fail to tender these acknowledgements, you cannot enter the Sweepstakes and any Entry will be deemed void.  The Entry Form may also include other optional (non-required) fields.  Whether or not you complete any or all of the optional fields, and your responses in those fields, will have no effect on your ability to play or win.  Fields that are required will be marked as such on the Entry Form.  Your completed Entry Form (“Entry,” or collectively with all other valid, completed Entry Forms from all Participants, the “Entries”) must be received by Sponsor during the Sweepstakes Period. All required information must be provided.  No mechanical or other reproduction of the Entry Form is permitted. Entries are void if defective, altered, forged, illegible or obtained outside authorized channels. Entries become the property of the Sponsor and will not be returned.  Sponsor is not responsible or liable for incorrect or inaccurate transcription of Entries or for late, lost, stolen, incomplete, illegible, damaged, misdirected, or corrupted Entries, which will be disqualified, or for problems or errors of any kind, whether mechanical, human or electronic.  Only a valid, completed Entry that is actually received by Sponsor and fully complies with these Official Rules is eligible to win.  Proof of submission of Entry is not and will not be deemed to be proof of receipt of Entry by Sponsor.

ii. One Entry Per PersonLIMIT ONE (1) ENTRY PER PERSON REGARDLESS OF METHOD OF ENTRY.  Limit one entry per email address.  If more than one Entry is received from any one person or email address, the first Entry processed by Sponsor will be considered the only valid Entry received.  Each Entry will be deemed made only by the authorized account holder of the email address provided in the Entry.  The authorized account holder is the natural person who is assigned to the email address by an internet access provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address.  Any potential prize winner may be required to show proof of being the authorized account holder.

b. Prizes:  Prizes in the Sweepstakes as described herein are available to be won only in the U.S.  All ARVs and dollar values below are stated in U.S. Dollars.  Details and qualifications for participation in this promotion may apply.  Each prize has additional terms and restrictions listed in Rule 5, each prize is also subject to the applicable terms and restrictions listed in Rule 6, as well as other applicable terms and restrictions contained elsewhere in these Official Rules.  Participants must abide by these Official Rules to remain eligible to win and to avoid forfeiture of their prize.  Subject to the terms of these Official Rules, the following prizes are available to be awarded:

** Winners of the “Space Race 2012 Competition Contestant” prize receive the right to enter the Competition.  Because this opportunity is not available for purchase and may not be transferred or assigned, it has no retail value.  The one thousand (1,000) winners of the Space Race 2012 Competition Contestant prize only receive a “berth” in the Competition as a contestant, with no interest in, right, or calculable odds of winning the Competition.  See Rule 4 for additional details.

c. Odds of Winning:  Odds of winning the one (1) Zero Gravity Experience prize depend on the number of eligible Entries received during the Sweepstakes Period.  Odds of winning one of the one thousand (1,000) Space Race 2012 Competition Contestant prizes, or one of the four (4) Monthly Winner prizes, depends on the number of eligible Entries received between the start of the Sweepstakes Period and the date and time listed in the table above under the “Entry Must Be Received By” column for that particular prize.

d. Selection & Verification of Potential Winners:  All winners of the above prizes will be selected by random drawings that occur throughout the Sweepstakes period.  Participants need not and may not be present at a drawing to win.  Once a participant has been selected as the potential prize winner of any prize in the Sweepstakes, he or she becomes ineligible to win any other Sweepstakes prizes.

i. Zero Gravity DrawingOne (1) potential winner of the “Zero Gravity Experience” prize will be selected by random drawing (“Zero-G Prize Drawing”) from among all eligible Entries received during the Sweepstakes Period.  The Zero-G Prize Drawing will be conducted using the Sweepstakes Computer on or about December 30, 2011.

ii. Competition Contestant DrawingOne thousand (1,000) potential winners of the “Space Race 2012 Competition Contestant” prize will be selected by random drawing (“Competition Contestant Prize Drawing”) from among all eligible Entries received between the start of the Sweepstakes Period and 11:59:59 p.m. on November 30, 2011.  The Competition Contestant Prize Drawing will be conducted using the Sweepstakes Computer on or about December 1, 2011.

iii. Monthly Winner Drawings:  Four (4) additional random drawings (each a “Monthly Winner Drawing”) will be conducted by Sponsor using the Sweepstakes Computer as follows:

(1) One (1) potential winner of the “Celestron® Telescope” prize will be selected at the September Monthly Winner Drawing, held on or about September 1, 2011, from among all eligible Entries received between the start of the Sweepstakes Period and 11:59:59 p.m. on August 31, 2011.

(2) One (1) potential winner of the “Breitling® Aeromarine Colt Quartz Watch” prize will be selected at the October Monthly Winner Drawing, held on or about October 1, 2011, from among all eligible Entries received between the start of the Sweepstakes Period and 11:59:59 p.m. on September 30, 2011.

(3) One (1) potential winner of the “SuperCade™ Arcade Machine” prize will be selected at the November Monthly Winner Drawing, held on or about November 1, 2011, from among all eligible Entries received between the start of the Sweepstakes Period and 11:59:59 p.m. on October 31, 2011.

(4) One (1) potential winner of the “Seattle & Space Needle™ Adventure” prize will be selected at the December Monthly Winner Drawing, held on or about December 1, 2011, from among all eligible Entries received between the start of the Sweepstakes Period and 11:59:59 p.m. on November 30, 2011.

iv. Potential Winner NotificationAll potential prize winners will be notified by email within twenty-one (21) days of being selected as a potential prize winner. Sponsor reserves the right, at its sole discretion and without any obligation, to attempt to contact potential prize winners by telephone and/or postal mail.  Sponsor is not responsible if a potential prize winner does not receive email notification or a corresponding prize because an erroneous, fraudulent, or bogus email address was provided on the Entry, because the email is intercepted by SPAM or other email filters, or because the email is delayed, misdirected or not received for any other reason.  Sponsor is not responsible if a potential prize winner does not receive telephone or postal mail notification, if actually provided by Sponsor, regardless of the reason the notification is not received.

v. Response to Notification & Submission of Prize Claim Documents:  Once Sponsor has sent notification to the potential prize winner of his/her status as a potential prize winner, the potential prize winner must submit “Prize Claim Documents” (defined below) within ten (10) calendar days of the first notification attempt by Sponsor regardless of whether or when the notification is actually received.  Instructions for completion and submission of the Prize Claim Documents will be provided to the potential winner at the time of notification or shortly thereafter.  Prize Claim Documents may be provided by Sponsor in either paper or electronic form and Sponsor may require potential prize winners to return the documents in either paper or electronic form at Sponsor’s sole discretion.  Failure of the potential prize winner to fully complete or furnish to Sponsor any of the required Prize Claim Documents or in the medium proscribed by Sponsor may be deemed forfeiture of the prize.

vi. Potential Winner Verification:  Upon receipt of the completed Prize Claim Documents, Sponsor will begin the verification process.  If the Sponsor so elects, a potential prize winner may be required to submit to, and by playing the Sweepstakes agrees to fully cooperate in, a confidential background check to confirm eligibility and to help ensure that the use of any such person in advertising or publicity for the Sweepstakes will not bring the Sponsor into public disrepute, contempt, scandal or ridicule, or reflect unfavorably on the Sweepstakes or the Sponsor as determined by the Sponsor in its sole discretion.  If a prize winner makes any false statement in any document related to the Sweepstakes, the winner may be disqualified and will be required to promptly return to the Sponsor upon demand the prize(s) or, at the Sponsor’s option, the cash equivalent of the prize(s) based on the ARV as stated in these Official Rules.

e. Prize Claim Documents:  Prize Claim Documents required to be submitted to support prize claims and redemptions differ by the nature of the prize being claimed and redeemed.  Participants who are notified of their status as potential prize winners will be advised of the Prize Claim Documents required for redemption of their particular prize.  Prize Claim Documents may include, but are not limited to, a Declaration or Affidavit of Eligibility (as determined by Sponsor), Release of Liability, a Publicity Release (where lawful), an Assignment of Rights agreement, a photocopy of identity documents, a Federal form W-9 for tax filing purposes, a contract or other agreement as required by Sponsor, and other documents as may be determined by Sponsor.  Proof of mailing or submitting the Prize Claim Documents of any kind or nature does not constitute proof of delivery or receipt.  Prize Claim Documents submitted become the sole property of Sponsor and will not be returned.  Sponsor shall not be responsible to correspond with Participants.

f. Forfeiture:  Under any of the following circumstances, the winner determination may be forfeited, at Sponsor’s sole discretion:  (a) the potential prize winner is unable or unwilling to travel on the dates specified by Sponsor; (b) required documents, including Prize Claim Documents, are not fully completed, executed, and returned to Sponsor in a timely manner, as determined in Sponsor’s sole discretion; (c) any notification or other communication to potential prize winner is returned as undeliverable; (d) Sponsor is unsuccessful in establishing communications with the potential prize winner within ten (10) calendar days of first notification attempt; (e) potential prize winner does not fully comply with the Official Rules, or (f) any other condition, event, or occurrence specified in these Official Rules as grounds for forfeiture.  If Sponsor decides that a winner determination is forfeited, that potential prize winner will forfeit the opportunity to win that prize and will be ineligible to be named the potential prize winner of any other prize in these Sweepstakes.  Upon forfeiture, no compensation will be given to potential prize winner.  If the initial potential winner determination for the Zero Gravity Experience prize or any of the four Monthly Winner prizes is forfeited, Sponsor will hold up to three (3) alternate drawings at dates and times determined by Sponsor to select a new potential prize winner for each forfeited prize.  If no potential prize winner has been determined or satisfies the terms and conditions of these Official Rules to claim the prize after the third drawing, the prize will remain unawarded.  If the initial potential winner determination for any of the Space Race 2012 Competition Contestant prizes (berths) is forfeited, no alternate drawings will be held and the forfeited prize(s) will remain unawarded.

 

4. PRIZE DESCRIPTIONS. TERMS & CONDITIONS

a. Zero Gravity Experience: The Zero Gravity Experience prize (ARV $6,100) includes the following components and is subject to the following terms and restrictions:

i. Zero G FlightWinner will receive one (1) seat (for winner only) aboard a specially-modified Boeing 727, G-FORCE ONE, where weightlessness is achieved by doing aerobatic maneuvers known as parabolas (“Zero G Flight”), provided by the Zero Gravity Corporation, a wholly owned subsidiary of Space Adventures, Ltd. (collectively, “SA”). ARV of the Zero G Flight is $5,100.  Winner must use the Zero G Flight within 12 months after the prize is awarded, but in no event later than December 31, 2012.  Restrictions and/or blackout dates may apply.  Zero G Flight may be subject to availability on certain dates only at the discretion of SA. Winner must agree to any and all terms, conditions, rules, or restrictions of SA and Sponsor to claim and use prize.  Winner may be required to sign a full, unconditional and irrevocable waiver and release of liability, and pass physical requirements determined by SA.  Failure to abide by any of the terms imposed by SA, including compliance with any instructions given by employees of SA in connection with participation in the Zero G Flight, will result in forfeiture of the prize, including forfeiture of any cash option.  Sponsor is not liable for delays, cancellation or unforeseen events related to the Zero G Flight.  See Rule 6 for additional terms and restrictions.

ii. Travel & Accommodations:  Winner will receive round-trip air travel for one (1) person (for winner only) from the major commercial airport nearest winner’s residence to the major commercial airport nearest the departure point of the Zero G Flight.  Prize also includes two (2) nights accommodations (room & tax only for one (1) standard double occupancy room), as well as round-trip ground transportation between airport and place of accommodation.  In no event will Sponsor pay a combined total amount for air travel, ground transportation, and accommodations in excess of $1,000.  In the event these costs exceed $1,000, the winner assumes all responsibility to pay for the excess.  See Rule 6 for additional terms and restrictions.

b. Celestron® NexStar 8SE Telescope (September Monthly Winner Prize):  Winner of the September Monthly Winner Drawing will receive one (1) Celestron® NexStar 8SE Telescope (ARV $2,000).  Prize includes the cost and arrangement of ground-based shipping, insured against loss or damage, of the prize to a postal address within the U.S. designated by winner.  Postal address must be within the winner’s state of residence, as identified on Prize Claim Documents.  Prize will be delivered in standard configuration; any upgrades or options are at the sole expense of the winner.  Color and other prize specifics to be determined by Sponsor and subject to availability.  See Rule 6 for additional terms and restrictions.

c. Breitling® Aeromarine Colt Quartz Watch (October Monthly Winner Prize):  Winner of the October Monthly Winner Drawing will receive one (1) Breitling® Aeromarine Colt Quartz Watch (ARV $3,000).  Prize includes the cost and arrangement of ground-based shipping, insured against loss or damage, of the prize to a postal address within the U.S. designated by winner. Postal address must be within the winner’s state of residence, as identified on Prize Claim Documents.  Prize will be delivered in standard configuration; any upgrades or options are at the sole expense of the winner.  Color and other prize specifics to be determined by Sponsor and subject to availability.  See Rule 6 for additional terms and restrictions.

d. SuperCade™ Upright Classic Arcade Machine (November Monthly Winner Prize): Winner of the November Monthly Winner Drawing will receive one (1) SuperCade™ Upright Classic Arcade Machine (ARV $2,500).  Prize includes the cost and arrangement of ground-based shipping, insured against loss or damage, of the prize to a postal address within the U.S. designated by winner.  Postal address must be within the winner’s state of residence, as identified on Prize Claim Documents.  Prize will be delivered in standard configuration; any upgrades or options are at the sole expense of the winner.  Color and other prize specifics to be determined by Sponsor and subject to availability.  See Rule 6 for additional terms and restrictions.

e. Seattle & Space Needle™ Adventure (December Monthly Winner Prize):  Winner of the December Monthly Winner Drawing will receive (1) Seattle & Space Needle™ Adventure (ARV $2,500).  Prize includes round-trip air travel for winner and one (1) guest (two persons total) from the major commercial airport nearest winner’s residence to Seattle, Washington. Prize also includes two (2) nights accommodations (room & tax only for one (1) standard double occupancy room), as well as ground transportation between airport and place of accommodation.  Prize also includes a private tour of the Space Needle, as well as dinner for two (2) at SkyCity, the Space Needle’s “orbiting” restaurant.  In no event will Sponsor pay a combined total amount for air travel, ground transportation, and accommodations in excess of $2,000, nor will Sponsor pay a total amount for dinner in excess of $500.  In the event these costs exceed $2,000 or $500, respectively, the winner assumes all responsibility to pay for the excess.  Dinner does not include the cost of alcohol and gratuity, which shall be paid for by winner. No other transportation, meals or accommodations is included.  Prize must be used in full between January 2012 and December 2012; the exact dates will be determined by mutual agreement of the Sponsor and the winner.  See Rule 6 for additional terms and restrictions.

f. Space Race 2012 Competition Contestant:  One thousand (1,000) winners of the Space Race 2012 Competition Contestant prize (“Contestants”) will receive guaranteed entry into (or a “berth” in) the Space Race 2012 Competition.  General information about the Competition is provided in Rule 4.  Contestants will need to sign various agreements, including full, unconditional and irrevocable liability releases and waivers, and will need to complete various other forms to be registered for the Competition.  The Competition is primarily, if not wholly, a competition of skill, which may involve creative elements, mental and/or physical challenges, and other subjectively judged criteria and tests determined by Sponsor.  Accordingly, entry into the Competition offers Contestants no guaranteed or calculable odds of winning the Competition Prizes.  Contestants will be eliminated from the Competition based on Sponsor’s evaluation of performance in various tests and challenges as the Competition progresses.  The Contestant who is declared the winner of the Competition, in accordance with the Competition Rules, will win the Trip to Space Prize.  The Competition Rules (as described above), when available, are final and binding in all respects insofar as they govern the Competition.  Participants are encouraged to read and review the Competition Rules when they become available at www.SpaceNeedle.com.

 

5. OTHER PRIZE RESTRICTIONS: 

a. General Terms & Restrictions: All prizes referred to in these Official Rules are governed by the following additional terms and conditions:

i. All details and other restrictions of prizes not set forth in these Official Rules will be determined by Sponsor in its sole discretion and will be provided to the applicable prize winner upon award of the prize.  Prize is subject to availability.  Certain other restrictions may apply;

ii. Prizes may be claimed, and will be furnished to winner, within eight (8) to twelve (12) weeks of receipt of Prize Claim Documents and verification of potential prize winners, unless otherwise provided for in these Official Rules.  Prizes must be used at or during the time indicated in the prize’s terms and conditions;

iii. If a potential winner cannot accept a prize as stated, that prize will be forfeited in its entirety, and, as specifically indicated in these Official Rules for each prize, may be awarded to an alternate winner. If a winner is not eligible pursuant to the Official Rules, Sponsor reserves the right in its sole discretion to deem the prize forfeited.  Prizes not claimed or that are forfeited will not be awarded unless otherwise specified in these Official Rules;

iv. No interest will be paid on any cash prizes. No cash alternative or substitution of any prize will be furnished unless otherwise provided for in these Official Rules, except Sponsor in its sole discretion may elect to substitute a similar prize of equal or greater value in the event the prize cannot be awarded as described due to limited production, discontinuation of the particular model by the manufacturer, or unavailability for any other reason;

v. Sponsor does not make, no in any manner is responsible or liable for, any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the prize, including but not limited to its quality, fitness for a particular purpose, or mechanical condition.  Prize will be delivered solely with the express limited warranties, if any, provided by the manufacturer of the prize;

vi. Prizes may not be substituted, exchanged, sold, encumbered, transferred, assigned, or redeemed for cash or other goods or services unless specifically authorized prior to such occurrence in writing by Sponsor, which Sponsor may withhold in its sole discretion.

vii. Whenever Sponsor is authorized to make a decision under the Official Rules, such decisions may be exercised in Sponsor’s exclusive and sole discretion.  In the event of any conflict in the Official Rules, or ambiguity, Sponsor reserves the right clarify or amend the Official Rules and to make a final determination resolving any conflict or ambiguity.

viii. Unless otherwise indicated, each prize will be delivered only to an address in the U.S. provided by winner in Prize Claim Documents;

ix. All taxes (including, without limitation, federal, state, and/or local income or sales taxes) on or connected with any prize, and the reporting consequences thereof, are solely the responsibility of respective winners.  If prize winner is a VA resident, he/she will not be responsible for sales tax on prize.  Sponsor will file an IRS Form 1099 or other applicable forms with the Internal Revenue Service for the fair market value of prize(s) won.  Winner will be required to provide Sponsor with his/her Social Security number and state tax IDs (if applicable) for tax reporting purposes.  If required by law, Sponsor reserves the right to withhold and remit to the appropriate taxing authorities the amount of any taxes due;

x. Any difference between the suggested retail price, the ARV, and/or the actual value of the prize will not be awarded;

xi. To the maximum extent permitted by law, all costs, fees, and expenses not expressly stated in the prize description that arise out of or relate to the claiming, awarding, receipt, acceptance, possession and use of the prize, including but not limited to, meals, beverages, alcohol, taxes, and gratuities, are the sole responsibility of the winner; and

xii. The manufacturers and/or suppliers from whom Sponsor has obtained the prizes in this Sweepstakes have not endorsed, sponsored, approved, or otherwise lent their name to this Sweepstakes, unless otherwise expressly indicated.

b. Travel-Related Terms & Restrictions:  Any prize that includes air travel, ground transportation, meals, or accommodations is governed by the following terms and conditions:

i. Any difference between the approximate retail value and the actual value of the air travel, ground transportation, meals, and/or accommodations will not be awarded;

ii. No insurance is provided as part of the prize.  Obtaining any insurance, such as, but not limited to, travel insurance, health, accident or medical insurance, and property loss or damage insurance is the sole responsibility of the winner and/or winner’s guests;

iii. Travel, accommodations, and other arrangements will be determined by Sponsor.  Sponsor reserves the right in its sole discretion to designate all flights, hotels, transportation, route or routes, and any other travel particulars (as the case may be).  Restrictions and/or blackout dates may apply;

iv. Air travel will be round trip (originate from and end at the same airport) coach (or economy) class from an airport selected by Sponsor. Prize winner and guests, if applicable, must travel together on the same itinerary and are solely responsible for having any required travel-related documents (including valid government issued photo ID and/or any required passport or visa) prior to departure as well as fulfilling any/all travel and security requirements;

v. Failure to complete the travel portion of the prize (or any portion of the prize) does not relieve the prize winner of his/her tax obligations associated with winning the trip prize;

vi. Flight schedules are subject to change without notice. Sponsor will not be liable for any missed opportunities or expenses incurred as a consequence of a cancellation and/or delay affecting flights, accommodations, or ground transportation;

vii. Prize winner may be required to provide a current valid major credit card at time of hotel check-in to cover incidentals, and any and all costs, fees, and expenses not expressly stated in the prize description;

viii. Once a guest is determined, that guest cannot be changed without the express consent of Sponsor; and

ix. Each winner (and each guest) agree to maintain his/her behavior in accordance with all applicable laws and generally accepted social practices in connection with participation in any prize-related activity.  Prize winners understand and agree that Sponsor has the right, in its sole discretion, to disqualify and remove a prize winner or any guest from any activity at any time, without compensation or further obligation, if that winner or guest’s behavior at any point is uncooperative, disruptive, or may or does cause damage to person, property, or the reputation of Sponsor, or otherwise violates the policies of the Sponsor.  The winner is solely responsible for its behavior and the behavior of winner’s guests.

6. TRANSFER, ASSIGNMENT:  Other than as specifically provided for in these Official Rules, the sale, exchange, encumbrance, transfer or assignment of an Entry, status as a potential prize winner or winner, or the prize itself is expressly forbidden without prior written authorization from Sponsor. Such authorization may be granted or withheld in Sponsor’s sole discretion. Requests and authorization must be in writing to be valid.

7. GENERAL RELEASE & CONDITIONS OF PARTICIPATION:  The contents of this provision include a Waiver and Release of Liability & a Disclaimer of Warranties.  You are advised to read it carefully and consider it when deciding whether or not to participate in the Sweepstakes.  This provision includes a non-exhaustive list of conditions of participation and supplements, but in no way supplants, other conditions of participation.

a. Waiver and Release of Liability: By participating in the Sweepstakes, each Participant hereby agrees to release, indemnify, and hold harmless Sponsor ITS PARENT ENTITY AND THEIR RESPECTIVE SHAREHOLDERS, directors, officers, agents and employees, from and against any and all liability for any claims, costs, injuries, losses or damages of any kind, including without limitation, property damage, REPUTATIONAL DAMAGE, personal injury, bodily injury, and/or death (whether due to negligence or otherwise) due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related and/or travel-related activity, or participation in any prize-related activities, or the receipt, use, or misuse of any prize.

 b. Disclaimer of Warranties: By participating in the Sweepstakes, each Participant hereby acknowledges and agrees that neither the sponsor nor its PARENT ENTITY AND THEIR RESPECTIVE SHAREHOLDERS, directors, officers, agents and employees, has made nor IS in any manner responsible or liable for (and in fact, hereby disclaimS) any and all warranties, representations or guarantees, expressed or implied, in fact or in law, relative to any prize including, but not limited to, its quality, suitability or availability.  Without limiting the generality of the foregoing, all prizes are provided “as is” without warranty of any kind, either express or implied, and Sponsor hereby disclaimS all such warranties, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and/or non-infringement. 

c. Assumption of Risk:  Participants assume all risk of loss, damage, destruction, delay and misdirection of Prize Claim Documents, Trip Claim Documents, or any other forms or communication relevant to these Sweepstakes, and are advised to obtain insurance where appropriate.

d. Waiver of Claims Relating to Prize Redemption:  Participants waive the right to assert as a cost of winning any prize, any and all costs of verification and redemption or travel to claim said prize and any liability and publicity which might arise from claiming or seeking to claim said prize.

e. Publicity:  Except where prohibited by law, submission of Prize Claim Documents constitutes permission, but not an obligation, for Sponsor to use potential prize winner’s name, voice, image (whether still or moving), hometown, likeness, other personally identifiable information (including city and state of residence), and any statements made by or attributed to such winner in any and all media, now known or hereafter devised, without notice, review or approval, in perpetuity and throughout the universe for advertising, commercial and promotional purposes in connection with the Sweepstakes and other promotions without further compensation, and releases the Sponsor from any liability with respect thereto.  Except where prohibited by law, Sponsor may, in its sole discretion, require potential prize winner to sign an agreement to this effect as a condition of receiving the prize, and it may disqualify any winner or deem any prize forfeited for failure to do so.

f. Disclaimer of Responsibility:  Sponsor, its parent companies, subsidiaries, affiliates, franchisees, local advertising cooperatives, advertising/promotion agencies, and all of their respective shareholders, directors, officers, employees, representatives, and agents, are not responsible or liable for:  (a) incomplete, illegible, misdirected, late, lost, damaged, stolen, or postage-due submissions of Entry, Prize Claim Documents or Trip Claim Documents or other Sweepstakes materials; (b) any human or other error, technical malfunctions, lost/delayed data or voice transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any online service or website, or any other error or malfunction, or any injury or damage to participant’s or any other person’s computer related to or resulting from participation in this Sweepstakes; (c) lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet or Wireless Service Providers, websites, or other connection, availability or accessibility problems arising in connection with or over the course of the Sweepstakes, including problems with the Sweepstakes Computer; (d) miscommunications, failed, jumbled, scrambled, delayed, dropped, interrupted, lost, non-delivered or misdirected computer, telephone, text message, email or cable transmissions or hardware or software or program or programming malfunctions, failures or difficulties; (e) any other errors of any kind, whether human, mechanical, clerical, electronic, digital or technical in nature, or unauthorized human intervention; (f) any incorrect or inaccurate information, whether caused by Official Website or Sweepstakes Facebook Page or YouTube users, tampering, hacking, or by any equipment or programming associated with, or utilized in, the Sweepstakes; or (g) the incorrect or inaccurate capture of information, or the failure to capture or loss of any information.

g. Tampering, Damage:  ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE, TAMPER WITH THE ENTRY PROCESS, OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS.  SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO COOPERATE IN THE PROSECUTION OF ANY SUCH INDIVIDUAL(S) AND TO PURSUE ALL REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW.

h. Other:  Failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If for any reason the Sweepstakes is not capable of being executed as planned (in whole or in part), or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of entrants, technical failures or any other causes which, in the opinion of Sponsor, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion to disqualify any suspect Entry or Participant and to cancel, terminate, modify or suspend the Sweepstakes.  In the event of any cancellation, termination or suspension, notice thereof will be posted on the Official Website and Sponsor reserves the right to determine, in its sole discretion, a procedure (if any) for awarding any unawarded prizes.  Entries not complying with all rules are subject to disqualification.

8. DISPUTES, ARBITRATION:  By participating in the Sweepstakes, each Participant agrees that:

a. any claim, dispute, or controversy (whether in contract, tort, or otherwise) that Participant may have against Sponsor, its subsidiaries, parents, affiliates, officers, directors and/or employees arising out of, relating to, or connected in any way with the Sweepstakes, the awarding or redemption of prizes, or the scope, enforceability, or applicability of this agreement to arbitrate (“Dispute”) will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”);

b. all arbitrations will be conducted in English at Seattle, Washington before a sole neutral arbitrator pursuant to the applicable Rules and Procedures established by AAA (“Rules and Procedures”), to the extent they do not conflict with these Official Rules;

c. this arbitration agreement is made pursuant to a transaction involving interstate commerce and is governed by the Federal Arbitration Act (“FAA”);

d. the arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable Participant may have entered into in connection with Sweepstakes or Competition;

e. the arbitrator shall apply Washington law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law;

f. the Dispute may not be arbitrated on a class or representative basis; arbitration may only be exercised to decide Participant’s and/or Sponsor’s individual claims or counter-claims; and to the fullest extent permitted by law, no arbitration shall be joined to an arbitration involving any other party, whether through class arbitration proceedings or otherwise;

g. the arbitrator may award interim and final injunctive relief and other remedies, but may not award punitive, exemplary, treble, or other enhanced damages; however, these limitations on remedies may be deemed inoperative to the extent necessary to preserve the enforceability of the agreement to arbitrate;

h. in the event that the administrative fees and deposits that must be paid to initiate arbitration against Sponsor exceed $125 USD for claims less than $10,000, or $375 for claims greater than $10,000 but less than $75,000, and the Participant is unable (or not required under the applicable Rules and Procedures) to pay any fees and deposits that exceed this amount, Sponsor agrees to pay them and/or forward them on the Participant’s behalf, subject to ultimate allocation by the arbitrator; additionally if the Participant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the Participant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive;

i. each party shall bear its own expenses, including but not limited to expert witness and attorneys’ fees;

j. any award of the arbitrator (including awards of interim or final remedies) may be confirmed or enforced in any court having jurisdiction; and

k. with the exception of subpart (6) above, if any portion of this Rule is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the Rules and Procedures established by AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein; if, however, subpart (6) is found to be invalid, unenforceable or illegal, then the entirety of this Rule shall be null and void, neither Sponsor nor Participant shall be entitled to arbitrate their dispute, and in any action or judicial proceeding, each party hereby waives any right it may have to trial by jury.

9. MISCELLANEOUS

a. Disqualification:  It is the Participant’s sole responsibility to ensure that he or she has complied in full with all conditions and requirements contained in these Official Rules. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and the prize forfeited, including forfeiture of any cash option.  No mechanically reproduced, illegible, incomplete, forged, software generated, third party or other automated or robotic entries, in whole or in part, will be accepted or valid.  Entries made by any individual or any entity other than the Participant and/or originating by any other mechanism, including but not limited to commercial Sweepstakes subscription notification and/or entering services, may be declared invalid and disqualified for this Sweepstakes.  Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person.  The Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.

b. Internet Access, Email Account, Fees:  By entering this contest, Participant hereby expressly acknowledges and understands that internet access is required to participate.  Participants must submit their Entry using either the Official Website or the Sweepstakes Facebook Page, and Participants must have a valid, working email address at which to receive notifications from Sponsor concerning their status as a potential prize winner.  Internet access may also be required for other purposes to facilitate or conduct the Sweepstakes, as Sponsor may from time to time determine in its sole discretion.  Participants who do not have internet access are encouraged to seek public forums of internet access, including public libraries.  Participants who do not have a valid, working email address are encouraged to sign up for free email services from any of a number of providers.  In no event will Sponsor be liable or responsible for any fees, charges, taxes, or costs of any other kind associated with or arising from any Participant’s efforts to secure internet access or an email address, whether solely to participate in this Sweepstakes or otherwise.

c. Facebook:  While Participants may enter this contest using the Sweepstakes Facebook Page, Participants may also enter using the Official Website.  No Facebook.com account or usage is therefore required.  Participants wishing to enter using the Sweepstakes Facebook Page may be required to have (or sign up for) an active Facebook.com account.  Sponsor is in no way responsible for any requirements, conditions, or restrictions that Facebook may place on any Participant’s ability to enter the Sweepstakes using the Sweepstakes Facebook Page.  The Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Facebook. Any information provided through the Sweepstakes Facebook Page is provided to Sponsor and not to Facebook.  The information provided will only be used by Sponsor for purposes of facilitating participation in and conduct of the Sweepstakes.  By using the Facebook page, Participants agree to release Facebook from any and all liability associated with their use in connection with the Sweepstakes and the Competition.  Participants are providing information to the Sponsor, and not to Facebook.

 d. Force Majeure and Errors:  Sponsor reserves the right, without prior notice and at any time, to terminate the Sweepstakes, in whole or in part, or modify, suspend or extend the Sweepstakes in any way if it determines, in its sole discretion, that the Sweepstakes is impaired or corrupted or that fraud or technical problems, failures or malfunctions (including, without limitation, computer viruses or other deleterious programs or materials, glitches or printing or production errors) have destroyed or severely undermined the proper play, integrity, and/or feasibility of the Sweepstakes.  In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein or by any event beyond its control, including but not limited to fire, flood, natural or man-made health epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal, state, provincial or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, extend or terminate the Sweepstakes.  Only the type and quantity of prizes described in these Official Rules will be awarded.  If, due to printing, digital, computer programming, hardware or software, or production errors or for any reason, more potential winners come forward seeking to claim prizes in excess of the number of each type of prize as set forth in these Official Rules, the winners, or remaining winners, as the case may be, of the advertised number of prizes available in the prize category in question may be selected in a random drawing from among all persons making purportedly valid claims for such prize(s).  Inclusion in such drawing shall be each Participant’s sole and exclusive remedy under such circumstances.

e. Invalidity, Headings, Rule Modification:  The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.  Headings and captions are used in these Official Rules solely for ease of reference, and shall not be deemed to affect in any manner the meaning or intent of these Official Rules or any provision hereof.  These Official Rules cannot be modified or amended in any way except in writing by a duly authorized representative of Sponsor.

 f. Governing Law:  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations as between Participant and Sponsor connection with the Sweepstakes shall be governed by and construed in accordance with the internal laws of the State of Washington including procedural provisions without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s or jurisdiction’s laws.

g. Venue, Attorneys’ Fees:  Notwithstanding the provisions of Rule 9, any and all court actions and proceedings arising out of, relating to, or connected in any way with the Sweepstakes shall be subject to the exclusive jurisdiction and venue of the federal and state courts in King County, Washington.  Each party to the action or proceeding shall bear its own attorneys' fees, expenses (including without limitation expert witness fees) and costs.

 h. Language Discrepancy:  In the event there is a discrepancy or inconsistency between disclosures or other statements contained in or displayed on any Sweepstakes materials, the Official Website, the Sweepstakes Facebook Page, and/or Prize Claim Documents and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

i. Personal Information, Privacy:  Except as otherwise contemplated in these Official Rules, information collected from Participants is subject to the Space Needle LLC’s “Privacy Statement” (http://www.spaceneedle.com/privacy).  By participating in the Sweepstakes, entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Statement.

 

10. OFFICIAL RULES:  These Official Rules are posted online at the Official Website (www.SpaceNeedle.com).  To receive a copy of the Official Rules, mail a self-addressed, stamped envelope to Space Race 2012, attn:  Sweepstakes - Official Rules Request, 203 6th Avenue North, Seattle, WA 98109-5505.  All requests must be received by December 31, 2011.  Vermont residents with a return address located in Vermont may omit return postage.  Limit one (1) request per outer envelope.

11. WINNERS LIST:  For a list of official winners of any prize with an ARV greater than $25, mail a self-addressed stamped envelope to Space Race 2012, Attn:  Sweepstakes - Winner List, 203 6th Avenue North, Seattle, WA 98109-5505. All requests must be received by December 31, 2012.  The list will be available no sooner than March 2012 and will be mailed when the Sweepstakes and Competition are officially over, winners have been verified, and prizes have been claimed and awarded. Limit one (1) request per outer envelope.

SPACE RACE 2012 COMPETITION

OFFICIAL COMPETITION RULES

1. SCOPE OF THESE RULES:
These official Space Race 2012 Competition Rules (the “Competition Rules”) supplement the Space Race 2012 Sweepstakes Official Rules, and, together with the applicable provisions of the Sweepstakes Official Rules, govern the Space Race 2012 Competition – to win a trip to space. Where these Competition Rules conflict with or provide additional or different provisions than the Space Race 2012 Sweepstakes Official Rules, including the provisions therein addressing the Space Race 2012 Competition, these Competition Rules shall supplement, control and supersede as applicable the provisions in the Sweepstakes Official Rules. Certain applicable provisions of the Sweepstakes Official Rules are re-printed herein for ease of reference.

2. SEPARATE COMPETITION -- NOT A CONTEST OR SWEEPSTAKES:
The “Space Race 2012 Competition” (the “Competition”) is a skills-based competition that will begin as early as December 1, 2011 and will conclude no later than December 31, 2012 (“Competition Period”). The Space Race 2012 Competition is not a contest or sweepstakes. This is not a game of chance. Odds of winning depend on the number and quality of entries received during the Competition Period and the capabilities of the participants.

3. METHODS OF ENTRY INTO COMPETITION:

a. Sweepstakes Prize – “Space Race 2012 Competition Contestant”. Up to one thousand (1,000) winners of the Space Race 2012 Competition Contestant prize awarded in the Space Race 2012 Sweepstakes will receive the right to enter the Competition. Upon completion of all Prize Claim Documents required by Sponsor, if any, and satisfaction of all other conditions and restrictions, a winner of that prize will be registered as an official participant in the Competition (“Contestant,” or together with all other Competition participants, “Contestants”). A Contestant is limited to a single person – no team entrants are permitted. Upon registration, Sponsor will provide Contestants with further instructions on how to participate in the Competition. Only verified winners of the Space Race 2012 Competition Contestant prize in the Sweepstakes who comply with the Official Rules are assured initial entry into the Competition.

b. Alternate Method of Registration – Application Process: Sponsor reserves the right in its sole discretion to offer other persons, who satisfy the eligibility requirements, but who did not win the Space Race 2012 Competition Contestant prize, including members of the general public who did not enter the Sweepstakes, the opportunity to apply to enter the Competition. Applicants may be required to send in an application form, essay, personal video, or any other materials that Sponsor identifies as part of the application process. Sponsor reserves the right to accept or reject any or all applications received, in Sponsor’s sole discretion, using evaluation criteria determined by Sponsor that shall remain confidential to Sponsor. Any person whose application is accepted by Sponsor to enter the Competition, and who otherwise complies with the Competition Rules, will be registered as a Contestant. If an alternate method of registration is allowed, Sponsor will post details on how to enter at the Official Website: www.spaceneedle.com.

4. NATURE AND STRUCTURE OF THE COMPETITION:
In order to win the Trip to Space Prize, Contestants are required to participate in a two-phase Competition. The first phase consists of a best videos competition (“Phase I” or the “Best Videos Competition”), which will narrow the Contestants to a field of not more than fifteen (15) individual Contestants. Winners of the Best Videos Competition will be selected through a two-step selection process consisting of (1) a judged competition and (2) public voting. The Best Video Competition will be conducted as follows:

a. Step 1: Judging Video Submissions.
To be eligible to compete in the Phase II challenge competition (described below) and win the Trip to Space Prize, Contestants selected in the Sweepstakes, or otherwise selected through an alternate method of registration as provided for in the Official Rules, are required to first prepare and submit a video via the Space Needle Space Race 2012 Facebook page, or the Official Website, not later than January 15, 2012. Videos submitted by Contestants (the “Submissions”) will be judged by a panel of judges selected by the Sponsor. The judges will evaluate the Submissions on the following criteria (“Evaluation Criteria”), assigning a maximum of 100 points using their sole and exclusive discretion: (1) Why the Contestant is the best person to go to space considering the Contestant’s lifetime achievements, aspirations, and/or ability to represent the Space Needle and its heritage and brand (30 points); (2) Why the Contestant aspires to travel to space (30 points); and (3) Creative and appropriate uses of the Space Needle image and heritage in the video submission (40 points). Any Submission may be eliminated, regardless of point total, in the judges’ sole discretion (i) if it is not consistent with the Space Needle’s brand and reputation in the marketplace, including its reputation for quality and integrity, (ii) if it does not reflect the goals of the Competition, (iii) if the language or imagery of the Submission is not suitable for all ages, or (iv) if the Submission is so deficient in content or execution as to be unclear or inappropriate. In the event of a tie in point totals among potential winners of the Best Videos Competition, the judges will revisit the tied Submissions and choose a winner between or among the tied Contestants the Submission that is the most original and creative overall while best achieving the criteria set forth herein.

b. Step 2: Public Voting.
The Competitors’ Submissions chosen by the judges pursuant to the criteria set forth above shall have their Submissions posted on the Space Needle Space Race 2012 Facebook page and the Official Webpage, and submitted to the general public for voting. The top two (2) recipients of votes from the public will be advanced to the final phase of the Competition -- Phase II, the Space Race Challenge. At Sponsor’s sole and exclusive discretion, Sponsor may elect to provide for additional entrants in the Space Race Challenge, in which case the additional entrants will be advanced to the Space Race Challenge in order based upon total votes received.

5. ADDITIONAL DETAILS ON HOW TO ENTER:
By participating in the Competition, each entrant unconditionally accepts and agrees to comply with and abide by the Official Rules and the Competition Rules and the decisions of the Sponsor, including the interpretation of the Official Rules and the Competition Rules and its exercise of discretion, which will be final and binding in all respects. To enter the Competition, you must be one of the one thousand (1,000) winners of the Space Race 2012 Competition Contestant prize awarded in the Space Race 2012 Sweepstakes, or if made available, chosen by and through an alternative entry method. Log on to Facebook, visit the Space Race 2012 Facebook page at www.facebook.com/spaceneedle (“Sponsor’s Page”) and follow the directions provided to indicate a “Like” preference on the Sponsor’s Page, complete any required information on the Sponsor’s Page and upload your video as described below, and click “submit” not later than 5:00 p.m. Pacific Time on January 15, 2012. (the “Competition Period”). Contestants must submit a video from their Facebook video gallery, YouTube video gallery or computer hard drive that meets the Evaluation Criteria set forth above. Limit one (1) entry per Contestant. Information collected from the Contestant in connection with the Contestant’s Submission may be used by Sponsor for marketing purposes. The use of automated devices, programs, “bots” or similar mechanisms or techniques for voting or to facilitate voting on the Submissions is prohibited and may result in disqualification. Sponsor and its affiliates, officers, owners, agents, employees and contractors assume no responsibility for lost, late, or misdirected Submissions or any computer, online, telephone, or technical malfunctions that may occur. All Submissions become Sponsor’s sole and exclusive property and will not be returned

6. FACEBOOK & YOUTUBE:
Participants in the Space Race 2012 Competition may be required to have (or sign up for) an active Facebook.com account. Sponsor is in no way responsible for any requirements, conditions, or restrictions that Facebook may place on any Participant’s ability to enter the Competition using the Space Race 2012 Facebook Page. The Competition is in no way sponsored, endorsed or administered by, or associated with, Facebook. Any information provided through the Space Race 2012 Facebook Page is provided to Sponsor and not to Facebook. The information provided will only be used by Sponsor for purposes of facilitating participation in and conduct of the Competition. By using the Facebook page, Contestants agree to release Facebook from any and all liability associated with their use in connection with the Competition. Participants are providing information to the Sponsor, and not to Facebook. Contestants must comply with the Statement of Rights and Responsibilities found at http://www.facebook.com/terms/#!/terms.php. To the extent of any conflict between these Official Rules and the Facebook Statement of Rights and Responsibilities, these Official Rules will control. By participating in the Competition, you also agree and comply with YouTube’s Terms of Service (located at http://www.youtube.com/t/terms). YouTube is not a sponsor of the Competition and has no responsibility or liability regarding the conduct or administration of the Competition.

7. SUBMISSION CONTENT:
Each Contestant represents and warrants that his or her Submission is the entrant’s original creation, he or she is the sole and exclusive owner of the Submission and the Submission will not infringe on the rights of any third parties. The entrant’s Submission should not include copyrighted, trademarked, or previously published material, including brand names/logos, except for Sponsor’s trademarks for which entrant has a limited license to use for the sole purposes of creating and uploading a Submission into this Competition. Clothing worn in the video Submission should not contain any visible logos, drawings, cartoons, phrases, trademarks or other third-party materials. Submissions requiring license or usage rights from any third party are not eligible. Submissions should not include any personally identifiable information. Submissions may not defame or invade the rights or privacy of any person, living or deceased, or otherwise infringe upon any third party’s personal, proprietary, or intellectual property rights; should not contain images or artwork not created by entrant or for which the entrant does not have use rights; should not contain material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous, or libelous; should not contain material that promotes bigotry, racism, hatred, or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age; and should not contain material that is unlawful, in violation of, or contrary to the laws or regulations in any jurisdiction. All Submissions must be consistent with the Space Needle’s reputation in the marketplace and must be suitable for audiences of all ages. Submissions which, in the judges’ sole discretion, contain any type of vulgarity or objectionable content will be disqualified. Submissions that do not meet these stated criteria, or Submissions that (in the judges’ sole discretion) may technically meet the stated criteria but do not reflect the intent and the spirit of the provisions related to participation, are not eligible.

8. TECHNICAL REQUIREMENTS FOR VIDEOS:
Video Submissions, to the extent they contain language, must be in English; may be no larger than 100MB in file size; must be in one of the following formats: .mpeg, .avi, .mpg4, .mov, .wmv, or .flv; and should be no longer two (2) minutes in length. The Contestant’s Submission must be compatible with Facebook and YouTube upload specifications. The Contestant’s Submission cannot have been submitted previously in a promotion, contest or competition of any kind. Submissions may include other identifiable individuals in addition to the entrant. If the entry includes other identifiable individuals in addition to the entrant, the entrant agrees and acknowledges that he/she has permission from the individuals to the extent required by law (or has permission from the individual’s parent/legal guardian if the individual is not of the age of majority in his/her jurisdiction of residence) to be included in the video Submission and is able to obtain written authorization and consent if asked to do so by the Sponsor.

9. PHASE II -- THE SPACE RACE CHALLENGE:
The winners of Phase I -- the Best Videos Competition -- are eligible to participate in the second phase of the Competition, which consists of a challenge competition involving a series of physical and mental challenges (the “Space Race Challenge”) to be conducted in 2012 among and between the Competitors selected in the Best Videos Competition. The Space Race Challenge will be based in Seattle, Washington, however events during the Space Race Challenge may also be conducted outside of Seattle, Washington. Competitors in the Space Race Challenge are required to travel to Seattle, Washington for the Space Race Challenge. Certain expenses for Contestants to participate in the Space Race Challenge will be paid for by the Sponsor, subject to limits determined in the sole and exclusive discretion of the Sponsor. Contestants in the Space Race Challenge will compete in a variety of tests and challenges throughout the duration of the Space Race Challenge, the number and details of which will be announced prior to commencement of the Space Race Challenge, but which may be modified, changed, altered or removed during the Competition to ensure a challenging competition. Sponsor reserves the right to keep the existence and nature of certain activities confidential to create an element of surprise for the Competitors. Any activity in the Competition may cause Contestants to be eliminated as Contestants from the Competition, based on Sponsor’s evaluation of their performance.

10. PHASE II – SPACE RACE CHALLENGE COMPETITORS:
Contestants selected to advance to Phase II – the Space Race Challenge -- will be notified by phone or mail or email at the number and address indicated on the entry form completed in connection with the Submission. These Contestants winner must complete, sign, and return the presented Affidavit of Eligibility, mutually acceptable Liability Release, Publicity Release, Assignment of Rights, Personal Services Agreement, background check authorization form, and appropriate tax documents (the “Documents”) within ten (10) calendar days of delivery of the Documents, or their opportunity to participate in the Space Race Challenge will be forfeited in its entirety. If notified winner is not eligible (which eligibility may be denied in Sponsor’s sole discretion following review of the completed Documents), forfeits prize, or declines prize; or in the event of noncompliance with these Official Rules, such winner will be disqualified and the entry with the next highest recipient of votes, if necessary or desirable for the Space Race Challenge, time and circumstances permitting, as determined in Sponsor’s sole discretion, will be advanced to Phase II. Return of any notification as undeliverable or failure to complete required Documents within the specified time period may result in disqualification and forfeiture of the opportunity to participate and/or win the Trip to Space. Upon prize forfeiture, no compensation will be given.

a. Background Check:
Sponsor reserves the right to conduct a background check on any potential Trip to Space winner and reserves the right in its sole discretion to disqualify any potential Trip to Space winner based on the results of such background check, if the Sponsor determines in its sole discretion that awarding the Trip to Space to a particular Contestant might reflect negatively on Sponsor. Factors that would result in disqualification include, without limitation, Contestant having been convicted of a crime, being delinquent on a government-ordered or court-ordered payment, such as child support, spousal support, alimony, tax payments, etc., or any other criminal or civil offense determined at the sole discretion of the Sponsor.

b. Personal Services Agreement:
The Personal Services Agreement (“PSA”) will set forth each Phase II Contestant’s responsibilities relating to the Sponsor, if any. The PSA may require, among other things, (1) that the Phase II Contestant participate in one or more broadcasts relating to the Space Race Challenge; (2) that the Sponsor has the right but not the obligation to require Phase II Contestants to make one or more personal appearances at a time and location selected by Sponsor for media tours, video news releases, and/or any other public relations activity; and (3) that the Phase II Contestants permit the use of their names, likenesses, and/or identifying information for promotional, publicity, or advertising purposes in any and all media now known or hereafter devised, including print and online media, without time or geographic limitations and without additional notification, compensation or permission, unless prohibited by law. Sponsor will have no obligation for further compensation beyond awarding the prize(s) provided for in the Official Rules. Sponsor will have no obligation to use the Contestants’ services or names or likenesses in any manner whatsoever. In the event any Phase II Contestant fails to execute a PSA by a date specified by Sponsor, they will forfeit the opportunity to participate in the Competition and a runner-up may be selected from among the remaining entries, time permitting, as determined in Sponsor’s sole discretion. No Contestant shall be awarded compensation for the services performed pursuant to the PSA or otherwise, and each Contestant’s sole remuneration for such services being the opportunity to win the Trip to Space Grand Prize. Each winner shall be an independent contractor and not an employee of Sponsor.

c. Assignment of Rights and Publicity Release:
All Submissions become the property of the Sponsor and will not be returned. To be considered for the Trip to Space Grand Prize, and as a condition of participation, Contestants hereby irrevocably assign and transfer all rights, title and interest in their Submissions, including but not limited to their copyrights, and all other proprietary rights, to the Sponsor. Entrants further agree to any additional written authorization, assignment, or other papers reasonably requested by the Sponsor in connection with the transfer and assignment of rights to their Submission, and any such papers will be required as a condition of being deemed a Grand Prize winner and of awarding the Grand Prize or an alternate winner will be determined, time and circumstances permitting, as determined in Sponsor’s sole discretion. Sponsor obtains the right to use, reproduce, modify, publish, create derivative works from, and display such Submissions in whole or in part, on a worldwide basis, and to incorporate them into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes, without providing any additional compensation, consideration, or notification to the entrants. Publicity Release: By participating in the Competition, entrants further grant to Sponsor the right to use and publish their proper names, likenesses, and states, in any and all media now known or hereafter developed, including without limitation online and in print, worldwide, in perpetuity in connection with the Competition and for advertising and promotional purposes, without additional compensation or notification, unless prohibited by law.

d. Additional Terms for Contestants:
By entering, each Contestant agrees to accept and abide by the Official Rules and agrees that any dispute with regard to the conduct of this Competition, rule interpretation, or award of prize, shall be resolved by Sponsor, whose decision shall be binding and final.

e. Release and Hold Harmless:
By entering, Contestants shall release, indemnify and hold harmless the Space Needle and its affiliates, owners, officers, directors, employees and contractors, and Facebook, Inc. and YouTube, as well as providers of the Trip to Space Grand Prize (collectively, the “Released Parties”), from and against any liability, loss, damage, cost, and expense that the Released Parties may suffer as a result of any claims, suits, demands, actions, causes of action (“Claims”), penalties, expenses, or costs (“Losses”), whether foreseen or unforeseen, including reasonable attorneys’ fees, that may be made or had against the Released Parties arising from or in connection with the Competition, including all such Claims and Losses arising from: 1) any prizes won; 2) the negligence, reckless acts, and/or intentional or willful misconduct by the Released Parties or Contestants; 3) any injuries, losses, or other damage of any kind that the Contestants may sustain arising from or in connection with their participation in the Competition; and 4) any claims based on publicity rights, defamation, misappropriation, false association, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property-related cause of action and/or breach of contract.

f. LIMITATION ON LIABILITY:
IN NO EVENT WILL THE RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND PARTICIPATION IN THE COMPETITION, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM ANY WEBSITES ASSOCIATES WITH THE COMPETITION. IN NO EVENT SHALL THE RELEASED PARTIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED $100. WITHOUT LIMITING THE FOREGOING, THIS COMPETITION AND ALL PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.
